• If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3.1 Permitted Use

You may use the Service for lawful business purposes, including:

• Creating and managing marketing content and campaigns.
• Using AI-powered tools for content generation, strategy planning, and analytics.
• Managing leads, customer relationships, and project workflows.
• Publishing content to connected social media platforms.
• Collaborating with team members and clients within your organization.

3.2 Prohibited Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Generate, upload, or distribute content that is defamatory, obscene, hateful, or violates the rights of any third party.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated bots, scrapers, or similar tools to access the Service beyond the provided API.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Violate any applicable law, including the Information Technology Act, 2000 and its rules.

• The Service uses artificial intelligence to generate marketing content, strategies, ad copy, and other materials.
• AI-generated content is provided as suggestions and drafts. You are responsible for reviewing, editing, and approving all content before use or publication.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
• You are solely responsible for ensuring that content you publish complies with applicable laws, advertising standards, and platform policies.
• We are not liable for any claims arising from your use or publication of AI-generated content.

5.1 Your Content

• You retain ownership of all content, data, and materials you upload or create using the Service ("Your Content").
• You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely for the purpose of providing the Service to you.
• This license terminates when you delete Your Content or close your account.

5.2 Our Intellectual Property

• The Service, including its design, software, AI models, features, branding, and documentation, is owned by Svayou and protected under Indian intellectual property laws.
• You may not copy, modify, or create derivative works of the Service.
• The Svayou and Automagic names, logos, and trademarks may not be used without our prior written permission.

• Access to certain features requires a paid subscription. Plans and pricing are listed on our website.
• Payments are processed through Razorpay. By making a payment, you also agree to Razorpay's terms of service.
• All fees are quoted in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• We reserve the right to change pricing with 30 days' prior notice. Changes will apply from the next billing cycle.

6.1 Refund Policy

• Refund requests may be submitted within 7 days of payment for unused subscription periods.
• Refunds are processed at our discretion and in accordance with the Consumer Protection Act, 2019.
• No refunds will be issued for partially used billing periods or after 7 days from the date of payment.

• The Service allows integration with third-party platforms such as Facebook, Instagram, LinkedIn, and other social media services.
• Your use of these integrations is subject to the respective third-party terms and privacy policies.
• We are not responsible for the availability, accuracy, or actions of third-party services.
• You authorize us to access and interact with third-party platforms on your behalf when you connect your accounts.

Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms. We process data in compliance with the Digital Personal Data Protection Act, 2023 and the Information Technology (Reasonable Security Practices) Rules, 2011.

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
• To the maximum extent permitted by Indian law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We do not guarantee uninterrupted or error-free operation of the Service.

You agree to indemnify and hold harmless Svayou, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service or violation of these Terms.
• Content you create, upload, or publish through the Service.
• Your violation of any applicable law or third-party rights.

• You may cancel your account at any time through the Service settings or by contacting support.
• We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if required by law.
• Upon termination, your right to use the Service ceases immediately. We may retain your data for up to 90 days for backup purposes, after which it will be deleted.
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

• These Terms are governed by and construed in accordance with the laws of India.
• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation.
• If negotiation fails, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, India.
• The courts at Bengaluru, Karnataka shall have exclusive jurisdiction for any matters not subject to arbitration.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Service and cancel your account.
